Terms of Service

The deal in plain words.

These terms cover the usezend.app website, the early-access waitlist, and the Zend! app once you have access. We have tried to write them the way we write everything else: directly, and without hiding the parts that matter.

00The agreement

This agreement

Zend! (“Zend”, “we”, “us”, “our”) operates usezend.app, the Zend! mobile and web apps, and the APIs and developer tools that support them. Together we call all of that the “Service”.

These Terms of Service form a binding agreement between you and Zend. By joining the waitlist, creating an account, or using any part of the Service, you accept these terms. If you do not accept them, do not use the Service.

Our Privacy Policy explains what we do with your data and forms part of this agreement. Some features are delivered by licensed partners, and using those features means also accepting the partner’s terms — we tell you when that applies, in the flow itself.

Who can use Zend!

You may use the Service only if all of the following are true:

  • You are at least 18 years old and can enter a binding contract where you live.
  • You are using Zend! for yourself, not on behalf of someone whose identity you are hiding.
  • You are not subject to sanctions, and you are not located in a jurisdiction that is the target of comprehensive sanctions.
  • You have never had a Zend! account closed by us for breaking these terms.
  • The features you use are legally available where you are. Availability is not a claim that we are licensed in your country.

One person, one account. If you need a second account for a business or a shop, use the merchant and developer products rather than a second consumer account.

01Early access

Early access, the waitlist, and reserved usernames

Zend! is in early access. Joining the waitlist puts you in a queue; it is not an account, not a promise of access, and not a promise of a launch date. We invite people in batches and we may change the order, the pace, or the countries we open first.

If you reserve a username (a “zendtag”) on the waitlist, we hold it for you on a best-effort basis until you claim it or we tell you the reservation has lapsed. A zendtag is a handle inside Zend!, not property, and not a trademark right. We may reclaim or reassign one that impersonates another person or brand, infringes someone’s rights, is used to deceive, is offensive, or sits unclaimed after we invite you.

Early-access software changes often and can break. Features may appear, change shape, or disappear. Balances, screens, and test data in pre-release builds may be reset. We will not reset or take real funds, but you should treat early access as early access.

02Your account

Your account and your device

You sign in with a phone number or an email address and a one-time code, and you protect the app with a PIN, biometrics, or a passkey on your device. Keep the information you give us accurate and current — we use it to reach you about your money.

You are responsible for:

  • Keeping your device, PIN, passkey, recovery material, and one-time codes to yourself. Anyone who has them can move your money.
  • Every action taken through your account, including by people you let use your device.
  • Telling us at once, at support@usezend.app, if you think your account, device, or recovery material has been compromised.

We will never ask you for your PIN, your one-time code, or your recovery phrase. Anyone who does is trying to steal from you.

03Wallet and keys

Your wallet and your keys

Zend! is built around a wallet that belongs to you. Your keys are generated on your device and encrypted on your device before anything leaves it. When you enable a backup, we store only the encrypted blob — we do not hold your PIN or your passphrase, so we cannot decrypt it, and we cannot sign a transaction on your behalf. You can export your keys and use them elsewhere.

Because of that design, recovery has limits. We offer the recovery paths you see in the app — such as verifying a second factor to reset a PIN, or restoring from a backup you control. If you lose your device and your recovery material, or forget the secret that protects your backup, your funds may be permanently unreachable. Nobody, including us, can undo that.

Some parts of the Service do run on infrastructure we control rather than on your device: escrow and settlement wallets used to route payments, and, where you use sign-in-with-Google identity on Sui, an encrypted salt stored on our servers or split into shares. We hold those under encryption and use them only to operate the Service.

Blockchain transactions are final. Once a transfer is confirmed on-chain, we cannot reverse it, cancel it, or claw it back — not for a wrong address, not for a wrong amount, not for a scam.

04Transfers

Sending and receiving

Zend! moves value as stablecoins — principally USDC and USDT — over public blockchain networks including Solana and Sui. When you send to a zendtag, a phone number, or an email address, you are authorising a transfer to whatever address that identifier resolves to at that moment. Check the recipient before you confirm.

A few mechanics worth knowing:

  • Networks charge fees and can be congested or unavailable. Confirmation times are not something we control.
  • Quotes, exchange rates, and routing prices are indicative and expire. The rate you get is the one applied when the transfer executes.
  • Stablecoins are issued by third parties. They are not deposits, they are not guaranteed by us, and they can trade away from their peg.
  • We screen activity for fraud, sanctions, and other legal risk, and we may delay, hold, refuse, or unwind a transfer where we need to. Where the law lets us explain, we will.
  • Unclaimed links, requests, and drops expire. Value on an expired link returns to the sender.

05Bank rails

Bank transfers, cash-in, and cash-out

Moving between your Zend! balance and a bank account is provided by licensed third-party partners — a local partner for Nigerian naira transfers, and a separate partner for international rails such as ACH, Faster Payments, SEPA, and SPEI. Zend is not a bank and does not itself hold or transmit fiat currency.

That means:

  • You will need to complete the partner’s identity verification and accept the partner’s own terms before those rails are available to you.
  • The partner sets its own limits, cut-off times, and settlement windows. Delivery times are estimates, not commitments.
  • You are responsible for the accuracy of the bank details you enter. Funds sent to a wrong but valid account may not be recoverable.
  • Where a transfer fails or is returned, funds go back to where they came from, less any network or partner fees already incurred.
  • Foreign exchange rates shown in the app include a spread and are quoted for a short window.

06Savings and pools

Savings pockets, goals, and pools

Savings pockets, goals, and locks are ways of organising your own funds inside your own wallet. Pools are shared: you and the people you invite contribute towards something together, and you can chat and send voice notes in the pool while you do.

Money in a pocket, goal, lock, or pool is not a bank deposit. It is not insured by the NDIC, the FDIC, or any deposit-insurance scheme, and it is not covered by any government guarantee.

Also true, and worth being blunt about:

  • We do not promise a return. Where a feature earns yield, that yield comes from third-party protocols and carries smart-contract, market, and counterparty risk, including the risk of losing principal.
  • A lock means what it says. Withdrawing early may forfeit accrued yield or be unavailable until the lock ends.
  • A pool is an arrangement between the people in it. Contributing is a transfer of value to the pool. We provide the rails and the room; we are not a party to your agreement with the other members, and we do not guarantee that anyone will contribute, repay, or behave well.
  • Nothing in Zend! is investment, tax, or legal advice, and we are not your adviser or fiduciary.

07Messages and content

Messages, social features, and your content

Direct messages between Zend! users are end-to-end encrypted. We store the ciphertext and route it; we cannot read it, and we cannot recover it for you if you lose your keys. Pool messages, voice notes, avatars, comments, reactions, and activity notes are stored on our infrastructure so they can be shared with the people they are meant for.

Your content stays yours. You give us the permission we need to host, store, transmit, and display it in order to run the Service, and to show it to the people you send it to. That permission ends when the content is deleted, except for copies we must keep by law or in backups that expire on their normal cycle.

Do not use Zend! messaging or social features to:

  • Harass, threaten, defraud, or impersonate anyone.
  • Share sexual content involving minors, content that incites violence, or anything else illegal.
  • Distribute malware, phishing links, or scam offers.
  • Send bulk unsolicited messages or scrape other people’s data.

You can block people and report content in the app, and you control who can message you and what appears on your public activity. When you make an activity item public, treat it as public — anyone with the link may be able to see it.

08Fees

Fees

We show the fee for a transaction before you confirm it. That figure may include a Zend! fee, a network fee charged by the blockchain, a partner fee for a bank rail, and a spread on any currency conversion.

We may change our fees. When we do, we will publish the change and, for material increases, tell you before it applies to you. Third-party fees and network fees are set by those third parties and networks, not by us.

09Acceptable use

Things you must not do

Do not use the Service to:

  • Break the law, launder money, finance terrorism, or evade sanctions or capital controls.
  • Commit fraud, take payment for goods you will not deliver, or run a Ponzi or pyramid scheme.
  • Transact on behalf of someone you are hiding from us, or use anyone else’s identity documents.
  • Interfere with the Service — probing, scraping, reverse engineering, bypassing rate limits or security controls, or automating access in ways we have not published an API for.
  • Infringe intellectual property or misuse the Zend! name and marks.

If you are a security researcher, we want to hear from you. Report findings to security@usezend.app and give us a reasonable window to fix things before disclosing. Test against your own account and data only.

10APIs and SDKs

APIs, SDKs, and the developer tools

If you build on our APIs, SDKs, or CLI, you get a revocable, non-exclusive licence to use them to integrate with the Service. Keep your API keys secret, scope them narrowly, rotate them when someone who had access leaves, and verify webhook signatures before you act on a webhook.

You are responsible for everything done with your keys, and for the privacy and security of any end-user data you handle through them. We may rate-limit, version, deprecate, or change the APIs, and we will give reasonable notice of breaking changes where we can. Additional developer or merchant terms may apply to those products.

11Suspension

Suspension, limits, and closing your account

We may limit, suspend, or close an account, or hold a transaction, where:

  • We are required to by law, a regulator, a court, or a partner.
  • We reasonably suspect fraud, money laundering, sanctions exposure, or unauthorised access.
  • You break these terms or use the Service in a way that creates risk for other users or for us.
  • We cannot verify your identity when verification is required for a feature you are trying to use.

We will tell you when we can, and as much as we are legally allowed to say. Where a restriction is precautionary, we will lift it as soon as the reason for it is resolved.

You can stop using Zend! whenever you like. You can withdraw or export your funds and keys, subject to any legal hold or unfinished transaction. Closing your account does not end obligations that already exist, and we keep the records the law requires us to keep — the Privacy Policy explains for how long.

We may also discontinue a feature, or the Service as a whole. If we do, we will give you reasonable notice and time to move your funds out.

12Taxes

Taxes

Working out and paying the taxes on your own activity is your job, not ours. We provide transaction history you can export, and we may report information about your activity where the law requires it, but we do not give tax advice.

13Third parties

Third-party services and networks

The Service depends on things we do not run: public blockchains, stablecoin issuers, identity-verification and banking partners, liquidity and routing providers, key-management networks, app stores, push-notification services, and cloud infrastructure. We choose these carefully, but we do not control them, and we are not responsible for their acts, outages, decisions, or terms.

Where a partner requires it, you will contract with that partner directly for the part of the flow it operates. Links to third-party sites are for convenience and are not endorsements.

14Our IP

Our intellectual property

The Zend! name, logo, apps, designs, and software are ours or our licensors’. You get a personal, revocable, non-transferable licence to use the app and site as intended. You do not get the right to copy, resell, or build a competing product out of them, or to use our marks without written permission.

If you send us feedback or an idea, thank you — and we may use it to improve the Service without owing you anything for it.

15Disclaimers

Disclaimers

To the fullest extent the law allows, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, error-free, or that any defect will be fixed.

Zend is not a bank, a deposit-taking institution, a broker, an exchange, an investment adviser, or a fiduciary. Using blockchain networks and stablecoins carries risk — including network failure, protocol bugs, loss of keys, depegging, and total loss of value — and you accept that risk when you use the Service.

16Liability

Limitation of liability

To the fullest extent the law allows, Zend and its officers, employees, and suppliers are not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for lost profits, lost data, lost goodwill, or losses caused by third parties, blockchain networks, or your own loss of keys or credentials.

Where we are liable, our total liability for all claims relating to the Service is capped at the greater of the fees you paid us in the three months before the event, or fifty United States dollars. Nothing here limits liability that cannot be limited by law, including for fraud or death or personal injury caused by negligence.

17Indemnity

Indemnity

You agree to cover our reasonable losses, liabilities, and legal costs arising from your breach of these terms, your misuse of the Service, your content, or your violation of anyone else’s rights or of applicable law. We will tell you promptly about any such claim and let you take part in defending it.

18Changes

Changes to these terms

We will update these terms as Zend! grows. When we do, we will change the “last updated” date on this page, and for material changes we will notify you by email or in the app before they take effect. If you keep using the Service after a change takes effect, you accept the updated terms. If you do not accept them, stop using the Service and withdraw your funds.

19Disputes

Disputes and governing law

Talk to us first. Email support@usezend.app with what happened and what you want, and we will try to resolve it informally within 30 days. Most problems end here.

If that does not work, these terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-laws rules, and you and we submit to the exclusive jurisdiction of the courts of Lagos, Nigeria. If a mandatory consumer-protection law where you live gives you the right to bring a claim locally, this clause does not take that right away.

20General

The rest

  • These terms plus the Privacy Policy and any product-specific terms are the whole agreement between us about the Service.
  • If a provision is unenforceable, the rest stays in force.
  • Not enforcing a term once does not waive it.
  • You may not transfer your rights under these terms. We may transfer ours as part of a reorganisation, merger, or sale, without reducing your rights.
  • Neither of us is liable for failures caused by events beyond reasonable control, such as network outages, natural disasters, or acts of government.
  • Clauses on liability, indemnity, intellectual property, and disputes survive the end of this agreement.
